Payback – Terms and Conditions

These Terms and Conditions (“Terms”) govern the use of the Payback website and services (“Services”) operated by Payback Time Ltd. (“Payback,” “we,” “us,” or “our”).

By accessing our website or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.


1. About Payback

Payback is a performance-driven advertising and user acquisition agency specializing in rewarded and incentivized traffic for mobile applications and games.

Payback operates as an intermediary between:

  • Advertisers / clients (primarily gaming studios), and
     
  • Third-party rewarded traffic platforms, publishers, and networks.
     

Payback does not operate its own consumer offerwall and does not directly reward end-users.


2. Scope of Services

Payback may provide services including, but not limited to:

  • Campaign setup and management
     
  • Event-based and performance-based user acquisition
     
  • Tracking, attribution, and reporting via third-party MMPs or tracking platforms
     
  • Fraud monitoring and traffic quality analysis
     
  • Campaign optimization and payout reconciliation
     

All commercial terms (pricing, KPIs, payout models, caps, budgets, attribution windows, dispute windows) are governed exclusively by written agreements, insertion orders (“IOs”), or statements of work agreed between Payback and its clients or partners.



3. Third-Party Platforms and Publishers

Payback works with independent third-party platforms, networks, and publishers.

You acknowledge and agree that:

  • Payback does not control third-party platforms or their users
     
  • Third-party platforms operate under their own terms and policies
     
  • Payback is not responsible for the actions, omissions, or technical failures of third-party platforms
     

Any traffic delivery, reward issuance, or user incentives are managed by such third parties and not by Payback directly.



4. Tracking, Attribution, and Source of Truth

Campaign performance is measured using:

  • Mobile Measurement Partners (MMPs) such as AppsFlyer, Adjust, Singular, or equivalent, and/or
     
  • Approved third-party tracking platforms.
     

Unless otherwise agreed in writing:

  • MMP raw data shall be considered the primary source of truth in case of discrepancies
     
  • Attribution is subject to attribution windows, event definitions, and postback configurations
     
  • Payback is not responsible for discrepancies caused by SDK issues, misconfigured events, latency, or platform-side limitations
     

5. Fraud, Invalid Traffic, and Quality Control

Payback maintains the right to:

  • Monitor traffic quality and conversion patterns
     
  • Withhold, adjust, or reject conversions deemed fraudulent, manipulated, incentivized beyond approved parameters, or otherwise invalid
     

Fraud disputes must be submitted within the timeframe defined in the applicable IO or agreement. Failure to do so constitutes acceptance of reported results.



6. Payments and Billing

Payment terms are defined solely in applicable IOs or written agreements.

Unless otherwise agreed:

  • Payments are based on approved and validated performance events
     
  • Disputed or invalid traffic may be deducted or withheld
     
  • Payback is not liable for delays caused by third-party platforms, advertisers, or payment processors
     

All fees are exclusive of taxes unless stated otherwise.



7. Intellectual Property

All intellectual property related to:

  • Payback’s methodologies
     
  • Campaign structures
     
  • Documentation
     
  • Internal tools and materials
     

remains the exclusive property of Payback or its licensors.

Nothing in these Terms grants any license or ownership rights except as explicitly stated in writing.



8. Confidentiality

All non-public business, technical, commercial, or financial information disclosed in connection with Payback’s Services is confidential.

You agree not to disclose such information to any third party without prior written consent, except as required by law.



9. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

Payback makes no warranties regarding:

  • Volume, quality, or performance of traffic
     
  • Revenue, ROAS, LTV, or profitability outcomes
     
  • Continuous or error-free operation of third-party platforms
     

All campaign results depend on multiple external factors beyond Payback’s control.



10. Limitation of Liability

To the maximum extent permitted by law:

  • Payback shall not be liable for indirect, incidental, special, consequential, or punitive damages
     
  • Payback’s total aggregate liability shall not exceed the fees actually paid to Payback in the three (3) months preceding the claim
     

11. Indemnification

You agree to indemnify and hold harmless Payback, its directors, officers, employees, and affiliates from any claims, damages, losses, or expenses arising from:

  • Your use of the Services
     
  • Breach of these Terms
     
  • Violation of applicable laws or third-party rights
     

12. Termination

Payback may suspend or terminate access to the Services:

  • For breach of these Terms
     
  • For suspected fraud or unlawful activity
     
  • As required by law or partner obligations
     

Termination does not affect accrued rights or payment obligations.



13. Modifications

Payback may update these Terms at any time.

Continued use of the Services constitutes acceptance of the updated Terms.



14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv-Yafo, Israel.
